The structure of a transaction, financing arrangements and the drafting of the transaction documentation can have a significant impact on the after-tax outcomes of the parties to a transaction. This session will work through several case studies that demonstrate the impact of taxation on the outcomes to clients and how pitfalls can be avoided. A broad range of tax issues will be covered such as:

  • How poor drafting can double a client’s tax liability;
  • The difficulties of advising clients on which entity to acquire property;
  • Why there is no such thing as a standard GST clause;
